PuzzlePath Venue Partner Agreement

This Venue Partner Agreement ("Agreement") is entered into between Outfox the Box Ltd, trading as PuzzlePath and ClueCreator ("PuzzlePath", "ClueCreator", "we", "our", or "us"), and the organisation or individual creating a venue account ("Venue", "Partner", "you", or "your").
By creating a PuzzlePath venue account, publishing a trail, or using the ClueCreator platform, you agree to this Agreement.
1. About PuzzlePath
Outfox the Box Ltd, trading as PuzzlePath and ClueCreator, provides a digital platform that allows venues and organisations to create interactive clue-based trails and experiences for visitors.
Outfox the Box Ltd, trading as PuzzlePath and ClueCreator, operates as the seller of trail access to players and handles payment collection, platform hosting, support, and payout administration.
2. Venue Responsibilities
You confirm that:
- You have authority to represent the venue or organisation.
- You have permission to create and operate trails at the locations used.
- Your trail content is accurate, lawful, and safe.
- Your content does not infringe copyright, trademarks, or intellectual property rights.
- You will not upload harmful, misleading, offensive, or illegal content.
3. Trail Safety, Route Approval and Risk Assessment
The Venue is solely responsible for checking, approving and risk assessing all trails before they are published or made available to players.
This responsibility includes, but is not limited to:
- trail routes;
- stop locations;
- clue wording;
- hints, answers and reveal text;
- QR codes or other physical/digital marker locations;
- route instructions;
- player-facing directions;
- any content created, edited, selected, approved or published by the Venue.
The Venue must ensure that no trail, clue, instruction, QR/code location, stop location or route directs or encourages players to:
- enter unsafe, restricted, private, staff-only or unsuitable areas;
- climb on buildings, walls, trees, exhibits, fences, barriers or other structures;
- cross roads, car parks, water edges or other hazardous areas unsafely;
- interfere with property, exhibits, animals, plants, equipment or other visitors;
- ignore venue signs, barriers, staff instructions or normal visitor safety rules;
- act in a way that could reasonably create a risk of injury, loss or damage.
The Venue confirms that it controls and is responsible for the physical premises, visitor access areas, signage, site rules, supervision requirements, local hazards, route suitability and health and safety arrangements relating to any trail made available at its location.
The Venue must keep each trail under review and must promptly update, suspend or remove any trail, clue, stop, QR/code location or instruction that becomes inaccurate, unsafe, unsuitable or affected by site changes, weather, maintenance works, temporary closures or other hazards.
Where PuzzlePath or ClueCreator provides AI-assisted, template-based, suggested or automatically generated content, the Venue remains responsible for reviewing, editing, approving and risk assessing that content before publication.
The Venue must maintain appropriate public liability insurance for its premises, visitor activities and trails, with cover at a level suitable for its visitor operations and in any event not less than any minimum level required by law, its own governing body, landlord, local authority, funder or insurer. The Venue must provide evidence of such insurance to PuzzlePath on request.
4. Revenue and Payouts
PuzzlePath may pay the Venue a share of revenue generated from eligible completed game purchases.
Payout amounts, payout schedules, and revenue arrangements may be updated from time to time and will be shown within the PuzzlePath platform or related communications.
PuzzlePath reserves the right to withhold or adjust payouts in cases including but not limited to:
- refunds,
- fraudulent activity,
- duplicate transactions,
- abuse of the platform,
- chargebacks,
- breaches of this Agreement.
5. Payments and Refunds
PuzzlePath acts as the seller of trail access to players.
PuzzlePath controls:
- payment processing,
- refunds,
- customer support,
- pricing systems,
- transaction administration.
Refund decisions remain at PuzzlePath's discretion.
Player purchases and gameplay are also governed by the applicable Player Terms, refund terms and Privacy Policy.
6. Intellectual Property
You retain ownership of the trail content you create.
By uploading content to PuzzlePath, you grant PuzzlePath a worldwide non-exclusive licence to:
- host,
- display,
- distribute,
- market,
- and operate your trail within the PuzzlePath platform.
7. Platform Availability
PuzzlePath aims to provide reliable service but does not guarantee uninterrupted operation.
Features, pricing, payout structures, and platform functionality may change over time.
8. Limitation of Liability
PuzzlePath is not responsible for:
- venue operational losses,
- indirect damages,
- visitor behaviour,
- local hazards,
- weather conditions,
- or circumstances outside our reasonable control.
Venues remain responsible for the safety, legality, suitability and risk assessment of their physical locations, trail routes, clue locations, QR/code placements, instructions and venue-created content, as set out in Section 3.
9. Venue Indemnity
The Venue agrees to indemnify and hold harmless Outfox the Box Ltd, PuzzlePath and ClueCreator from and against any claims, losses, damages, liabilities, costs and expenses arising out of or connected with:
- the physical condition, layout, management, operation or safety of the Venue's premises;
- any trail route, stop location, clue, hint, answer, reveal text, instruction, QR/code location or player-facing content created, selected, edited, approved or published by the Venue;
- any failure by the Venue to check, risk assess, update, suspend or remove unsafe, inaccurate, unsuitable or unlawful trail content;
- any breach of this Agreement by the Venue;
- any claim that Venue-created content caused or contributed to injury, loss, damage or legal liability.
This indemnity does not apply to the extent that a claim is caused directly by PuzzlePath's own negligence, wilful misconduct or breach of law.
10. Suspension or Termination
PuzzlePath may suspend or terminate accounts that:
- breach this Agreement,
- misuse the platform,
- upload inappropriate content,
- or create legal or reputational risk.
Venues may stop using the platform at any time.
11. Privacy and Data
Use of the platform is also governed by the Venue PuzzlePath Privacy Policy.
12. Changes to this Agreement
PuzzlePath may update this Agreement from time to time.
Continued use of the platform after updates constitutes acceptance of the revised Agreement.
13. Governing Law
This Agreement is governed by the laws of England and Wales.
